LADDER BOKSS – LIABILITY WAIVER, EXPRESS ASSUMPTION OF RISK, & INDEMNIFICATION AGREEMENT
PLEASE READ THIS DOCUMENT CAREFULLY. BY SIGNING THIS AGREEMENT, YOU ARE WAIVING CERTAIN LEGAL RIGHTS, INCLUDING YOUR RIGHT TO SUE LADDER BOKSS, ITS OWNERS, EMPLOYEES, AND AGENTS FOR INJURIES OR DAMAGES RESULTING FROM NEGLIGENCE.

In consideration for being permitted to enter the premises, utilize the facilities, and participate in any fitness programs, classes, training, or events operated by Ladder Bokss, located in Waxhaw, North Carolina, I, the undersigned participant, hereby agree to the following terms and conditions:

1. Medical Representation and Informed Consent
I hereby represent and warrant that I am in good physical health and suffer from no medical condition, impairment, disease, or infirmity that would prevent or limit my safe participation in strenuous physical activities at Ladder Bokss. I acknowledge that it is my sole responsibility to consult with a physician prior to embarking on any fitness or exercise program. If I have a history of heart conditions, respiratory issues, or joint injuries, I certify that I have secured medical clearance to engage in the specific high-intensity programs offered by Ladder Bokss.

2. Rules and Regulations
The participant agrees to follow all safety instructions provided by the staff and to use the equipment properly.
Failure to adhere to safety guidelines may result in the termination of the session without a refund.
Hoka and other thickly padded shoes are not permitted due to risk of injury. Due to contact with mats, pants and shirts are recommended.

3. Express Assumption of Risk
Participation in Ladder Bokss involves physical activities such as calisthenics, climbing, and the use of stall bars. These activities carry inherent risks, including, but not limited to physical injury, muscle strain, or falls. I understand and acknowledge that participation in physical exercise, functional training, cardiovascular training, and any other fitness concepts utilized by Ladder Bokss carries inherent risks. These risks cannot be fully eliminated, regardless of the care, caution, instruction, or expertise applied by Ladder Bokss.

I KNOWINGLY, VOLUNTARILY, AND EXPRESSLY ASSUME ALL INHERENT RISKS associated with my participation, which include, but are not limited to:

• Muscular strains, sprains, joint dislocations, torn ligaments, and broken bones.
• Cardiovascular complications, overexertion, dehydration, heat exhaustion, fainting, heart attacks, or strokes.
• Blunt force trauma, cuts, abrasions, or concussions resulting from contact with equipment, floors, walls, or other participants.
• Injuries arising from equipment malfunction, improper equipment use, hidden defects, or slipping and falling on the premises.
• Permanent disability, paralysis, or death.

I am fully aware of these foreseeable and unforeseeable risks and choose to participate voluntarily.

4. Release of Liability for Ordinary Negligence
I HEREBY FOREVER RELEASE, WAIVE, DISCHARGE, AND COVENANT NOT TO SUE Ladder Bokss, its parent companies, subsidiaries, members, managers, officers, directors, employees, independent contractors, coaches, instructors, agents, and landlords (collectively referred to as the "Released Parties") from any and all claims, demands, actions, or causes of action for personal injury, property damage, wrongful death, or financial loss arising out of or related to my participation or presence at the facility.

THIS RELEASE EXPLICITLY INCLUDES CLAIMS ROOTED IN THE ORDINARY NEGLIGENCE OF THE RELEASED PARTIES. This includes, but is not limited to, negligence in maintaining the premises or equipment, negligence in providing instruction, training, or supervision, and negligence in administering first aid or emergency medical assistance. I understand that this clause does not release the facility from liability regarding gross negligence, reckless misconduct, or intentional acts, which are prohibited from waiver under North Carolina law.

5. Indemnification and Hold Harmless
I agree to INDEMNIFY, DEFEND, AND HOLD HARMLESS the Released Parties from and against any and all third-party claims, losses, liabilities, damages, judgments, settlements, costs, and expenses (including reasonable attorneys' fees and court costs) that arise out of, result from, or are in any way connected to my actions, omissions, conduct, or presence at Ladder Bokss. This obligation applies whether the claim is brought by a third party, my insurance carrier, my heirs, or my estate.

6. Governing Law and Severability
This Agreement shall be governed by, construed, and enforced in accordance with the laws of the State of North Carolina. Any legal action, suit, or proceeding arising under this Agreement must be brought exclusively in the state courts located in Union County, North Carolina.
If any court of competent jurisdiction finds any clause or provision of this Agreement to be invalid, illegal, or unenforceable, that specific portion shall be modified to the minimum extent necessary to make it valid. The invalidity of any single clause shall not affect the validity, legality, and enforceability of the remaining portions of this Agreement, which will remain in full force and effect.

7. Acknowledgment of Voluntary Execution
By signing this form, I certify that I have read this entire document and fully understand its contents. I am aware that I am giving up substantial legal rights, including the right to sue Ladder Bokss for ordinary negligence. I sign this agreement freely, voluntarily, and without any inducement or duress.
